Terms and Conditions of Usage

These Terms and Conditions of Usage, along with any applicable additional terms or agreements listed or stated below (collectively, the “Terms and Conditions”) govern your use of the and access to our websites, web-based applications and products, customer support and related documentation.

The Terms and Conditions are in place for a trustful relationship between us as a supplier and service provider, and you as the customer and user, so that you can experience a great customer relationship.

BY ACCEPTING THISE TERMS AND CONDITIONS, BY CLICKING THE BOX INDICATING YOUR ACCEPTANCE, YOU HAVE AGREED TO EVERYTHING STATED BELOW. IF YOU ARE ENTERING INTO THIS AGREEMENT ON BEHALF OF A COMPANY OR OTHER LEGAL ENTITY, YOU REPRESENT THAT YOU HAVE THE AUTHORITY TO BIND SUCH ENTITY AND ITS AFFILIATES TO THIS AGREEMENT, IN WHICH CASE THE TERMS “YOU” OR “YOUR” SHALL REFER TO SUCH ENTITY AND ITS AFFILIATES. IF YOU DO NOT HAVE SUCH AUTHORITY, OR IF YOU DO NOT AGREE WITH THESE TERMS AND CONDITIONS (AS DEFINED BELOW), YOU MUST NOT ACCEPT THIS AGREEMENT AND MAY NOT USE THE SERVICES.

The Terms and Conditions was last updated on March 16, 2023. These Terms and Conditions replace and supersede all prior versions. It is effective between You and Us as of the date You accepted these Terms and Conditions.

Changes to the Terms and Conditions
Elotec reserves the right to modify the Terms and Conditions of the agreement with 30 (thirty) days’ notice. We also have the right to cancel, modify, suspend or terminate the Service, fully or on in part after having notified the User at least 30 (thirty) days preceding the cancellation of Service. Elotec reserves the right to change the prices of recurring subscriptions. Changes will take effect 30 (thirty) days after notification.

Privacy and data processing
Elotec AS ("Elotec", "we" or "us") may collect personal data processed in connection with the Elotec platform EloRa ("EloRa Manager", the “Services”). "Personal data" means any information relating to an identified or identifiable natural person, such as name, location data, phone number, IP-address or a combination of these that make it possible to identify the person to whom the data belongs, ref. Article 4(1) of the EU General Data Protection Regulation (the "GDPR"). This information may be used by Elotec according to our Privacy Policy (LINK til Elotec nettside). Data related to you installed sensors and system may be shared with the same third party who sold you the Elotec EloRa hardware, who in turn may use the data to offer customer and technical support services, according to our Privacy Policy and the Data Processing Agreement (as stated below).

Renewals, cancellation and termination
Subscriptions are automatically renewed when the current subscription period ends.
The End User owning the sensors can cancel the subscription at any time. When a subscription is cancelled, it means that it will not be renewed at the end of the subscription period.

After a subscription ends, Elotec will terminate the account, saved data may also be deleted in this process unless other is stated in the privacy policy and data processing agreement.

If the subscription holder has failed to pay fees or other subs owed to Elotec, we have the right to terminate the account 90 days after the original payment was due.

Elotec has the right to terminate the user’s account if the user acts in a manner that is not compliant with this agreement, or the instructions given by Elotec.

Account usage, activity and security
You as the user are responsible for all activity that occurs using your account. You are responsible for taking the needed steps to maintain the security and control of your account. We reserve the right to monitor and enforce subscription plan limits and restrictions, including, but not limited to, the right to charge for usage superseding the limits and restrictions.

Elotec may establish or amend general operating practices to ensure that the Services are available and not abused.
You must use the Services responsibly and not misuse them, for example you must not:
use without, or in violation of the Terms and Conditions.
copy, modify, host, sublicense or resell the Services or your account.
enable or allow others to use the Services with your account.
access or attempt to access the Services by any means other than the interface we provide.
circumvent any access or use restrictions put in place to prevent certain uses of the Services.
use the Services or Software if You are Our direct competitor, except with Our prior written consent.
access the Online Services for the purposes of monitoring its availability, performance, or functionality, or for any other benchmarking or competitive purposes.

Adding additional users to a EloRa installation
The End User may share the access to the installed sensors as long as there is a valid subscription in place for these sensors. To enable this access the End User that owns the installation in question need to send a written request to Elotec. The request need to verify the identity of the End User, to specify the scope of the access and that the End User assumes responsibility for the invited users and their use of the Services.

Miscellaneous
Elotec reserves the right to transmit and receive data through the End Users Gateway, as well as monitoring the Gateway for statistical purposes.

Ownership and licenses

What We License to You: We grant you a worldwide license during the term of this Agreement to use the Online Services to provide your customers, partners, and internal staff the ability to collect, manipulate, provide, and view Your Data.

What You License to Us: You grant us a worldwide license to use, reproduce, transmit, display, and adapt Your Data and Your Application Resources solely as necessary for Us to provide the Online Services in accordance with this Agreement.

You grant us a royalty-free, worldwide, transferable, sub-licensable, irrevocable, perpetual license to use or incorporate into our Online Services any suggestions, enhancement requests, recommendations, or other feedback provided by You relating to the Online Services.
